The field of corporate finance combines the competences of financial management, advisory and accounting; strategic planning, tax advisory and other. We perform our work in accordance with internationally accepted working standards.

Estimation of fair value

The estimation of fair value encompasses the valuation of various asset groups on the basis of the internationally accepted methodology. The assets under consideration may include company’s shares, financial instruments, property, accounts receivable or contracts, and real estate. We provide opinions on various transactions discussed during court and extrajudicial disputes, incl. calculation of non-received revenues. 

Business plans and financial forecasts

We prepare financial projections, forecasts and budgets as well as conduct feasibility studies and financial analyses. Based on the clients’ business projects, we develop business plans in accordance with international standards. A business plan is a detailed program for a company’s activities and related costs and revenues. The business plan includes the forecasted revenues, balances and turnovers and provides a description of means for reaching the objectives set, anticipated demand for services, resources to be used for rendering the services, investment, sales and marketing strategies, costs for using the infrastructure as well as the planned organisational restructuring.

Restructuring and reorganisation

We provide the client with individual complete solutions for optimising the company’s structure. Based on the owners’ needs and financial feasibility, we make suggestions for a company’s or a corporate group’s optimal reorganisation, give advice on re-allocation of shares and assets as well as found new legal entities, if necessary.

Acquisition-, sales-, merger- and division-related advisory

We advise the client in all main aspects of transactions: the identification of a buyer, or an acquisition or merger target; primary analysis and valuation, negotiations, due diligence, preparation of legal documentation and formal closing of the transaction.

Due Diligence

Due diligence is a detailed analysis of business, financial and legal state of a company under acquisition. As a summary of the analysis, a report is prepared, which provides a comprehensive view on the target.
